KOMAS SIGNS A LETTER OF INTENT WITH CARGOTEC TO DEVELOP A LONG-TERM SOUCING PARTNERSHIP

Komas and Cargotec have signed a preliminary agreement, comprising a letter of intent, which outlines the guidelines for deepening the companies’ cooperation as a long-term sourcing partnership. The agreement includes a planned transaction by which Komas would acquire Cargotec’s component manufacturing operations in Narva, Estonia. The parties have agreed not to disclose the value of the planned transaction, which is expected to take place during the coming months.

The co-operation and potential transaction would further strengthen Komas’ position as one of Cargotec’s preferred suppliers of steel structures. Moreover, the expansion to Narva would increase Komas’ best cost manufacturing capacity in line with its strategic direction.

The potential outsourcing arrangement would also support Cargotec’s approach of focusing on its core activities.

Cargotec employs approximately 370 people in Narva, and based on the preliminary plan all employees would transfer to Komas. Komas plans to continue operations in the existing premises. Cargotec would remain as one of Komas’ key customers.

Mika Kari appointed the new CEO of Komas

Mika Kari (M.Sc. (Eng.), 41) has been appointed the new CEO of the Komas Group, an engineering industry system supplier. Kari will take over as CEO on 1 February. The company’s founder and current CEO, Jukka-Pekka Nikula, will continue as a member of the Board of Directors and a major shareholder.

Mika Kari has been employed by Ojala-Yhtymä since 2008, most recently as President and CEO. Prior to this, he was President & CEO of the PKC Group between 2005 and 2008 and worked for the same company in several positions from 1996 onwards, including as Vice President responsible for wiring harnesses and business development director.

Under Jukka-Pekka Nikula’s leadership, Komas has developed into Finland’s leading engineering industry system supplier following a period of strong growth on the domestic market and has also expanded into Central Europe, with a plant in Poland serving its customers in Continental Europe. Recently Komas has also started operations in China. Net sales rose from EUR 8 million in 2002 to EUR 120 million in 2010, and Jukka-Pekka Nikula and the company have received numerous awards over the years.

“I would like to thank Jukka-Pekka for his excellent contribution and his long and successful career; and I am very happy that he will continue as a member of the Board. I am also very happy to welcome Mika Kari to Komas as we continue to grow and expand internationally. Mika Kari has a strong background in the international system supplier business and industry best practices through the numerous demanding customers that he has worked with. I believe that he is the right person to lead the company and its operations during its next stage of growth,” says Jan Mattlin, the Chairman of Komas’ Board of Directors.

“I’m very excited about the opportunity to take over as CEO of Komas. The Komas business has been developed very determinedly and the company is now well-placed to take the next step on the road to becoming an international system supplier for the heavy engineering sector. I believe that the extensive engineering industry expertise that Komas has, together with my experience in contract manufacturing for the automotive, electronics, and electrical power industries, will provide a good foundation for us to achieve the goals that have been set for the company. There are no truly global system suppliers in the heavy engineering sector at the moment, and Komas has an excellent opportunity to be a real pioneer in the field,” says Mika Kari, who will take up the position as of 1 February.

“I have had the chance to be part of Komas’ growth for over eight years. Working together with our committed and highly skilled workforce, has been a very interesting and inspiring time. Now that we have succeeded in getting Komas back on track following the international financial crisis and the recession that followed, this is the right time, I believe, to hand over leadership to my successor, in line with the original agreement made with CapMan when they invested in the company. This is also a natural step in Komas’ development towards becoming a more international player. I will continue to be a major shareholder in the company and I intend to take an active part in the work of the Board, supporting the new CEO and Komas’ future development,” says Jukka-Pekka Nikula, who will step down as the company’s CEO on 31 January.

Komas expands to China

Komas continues to expand and grow more international in line with its strategy. The company has made a decision to expand its operations to China.

Komas has leased new production and office facilities from Suzhou near Shanghai. The renovation of the premises to meet Komas' needs is already under way, and the production operations are expected to kick off during the second half of 2011.

The person in charge of Komas' operations in China is Business Director Mika Närhi, who has orchestrated the commencement of the operations and the search for suitable production facilities since the beginning of last year.

“In the past years, a significant portion of the global growth in the engineering industry has occurred in Asia, and we believe that this will be a continuing trend in the near future. We see the expansion to China as a considerable leap on the path towards our strategic goal of reaching prominent position as an international system supplier for the engineering industry,” explains Jukka-Pekka Nikula, CEO of Komas. “In the future, when we combine our operations in China with our strong position in the domestic market and with our manufacturing capacity in Eastern Europe, we will have excellent opportunities to provide our customers with flexible and cost-efficient services in a larger than ever market area.”

“We have engaged in extensive discussions with our Finnish and European customers operating in China. Even though competition is fierce in the Asian market, as well, their message has been that there is demand in China for system supplier that operates with Komas’ business concept. Suzhou is a favourable location as many of our customers’ factories are less than two hours away. In this way, we can continue to be close to our customers in China, too. At the same time, our location near competitive procurement channels supports our factories in Europe,” says Mika Närhi, Business Director in charge of Komas’ operations in China.

Moventas outsources its tooling unit to Komas Oy

Wind and industrial gear manufacturer and service provider Moventas has signed an agreement with Komas Oy concerning the sale of its separate tooling unit in Jyväskylä

Moventas outsources its wind gear business related tooling unit. The Jyväskylä-based operations, separate from the company's wind gear factories, has today been sold entirely to a engineering industry system supplier, Komas Oy, in Jyväskylä.

The tooling unit staff, included in the Moventas cooperation negotiations that ended on October 13, 2010, will be transfer to Komas as continuing employees as part of the sale. The tooling unit employs 22 people.

In the future, Moventas will maintain the main functions of wind gear production in Jyväskylä: R&D, key component manufacturing for the global manufacturing network and gear manufacturing for the European market as a whole. Moventas has strongly invested in these functions in the recent years, and the Jyväskylä factories are very competitive. Assembly and testing will be moved to North America and Asia, where long term estimates predict the strongest growth of wind power production.
